1.1 The Universal API Platform (the “UAPI Platform”) provides a catalog of integrations with APIs from Velory and third-party API providers, enabling application developers to discover, try, and build from the API catalog. The UAPI Platform is owned and powered by Velory AB reg. no. 559118-9476 (“Velory” "we", "us", “our”). By accessing the UAPI Platform, you agree to these Terms of Service for UAPI Platform (“Terms of Service”). In addition, you acknowledge the Velory Privacy Policy.
1.2 These Terms of Service apply to both individuals or enterprises who access and use the APIs, or other services provided through the UAPI Platform (“Developers”, “you”). In these Terms of Service, “API Provider” refers to third-party system providers whose service is accessible via the UAPI Platform.
3.1 Universal API Platform provides a platform for integrating and managing data across multiple systems. You can access, retrieve, and update data through a unified API. The service includes customizable endpoints for data interactions and automation of workflows. UAPI Platform is designed to support various applications and environments, enabling users to connect and manage data efficiently. By utilizing this service, you agree to operate within the defined scope of functionalities provided by Universal API as outlined in these terms. The UAPI Platform includes a catalog of APIs from Velory and third-party API Providers, and provides the following features and capabilities.
3.2 API Listing – The UAPI Platform catalog is made up of API Listings from Velory and third-party API Providers. API Listings may include the following information: a URL to the API Provider’s website, API license terms or terms of service if provided by the API Provider, documentation for API endpoints, version history, FAQ and support information, SDKs, code samples (where supported), and additional related resources. The API Listing may also include API Provider’s trademarks, and other promotional material. This information is collectively referred to as the “API Listing Information.”
3.3 In addition to the API Listing Information, each API Listing will include a way for Developers to test API endpoints. To test API endpoints, Developers must already have access to the relevant API key, which Developers must obtain directly from the API Provider. Developers may test no-charge or trial APIs or APIs for which they have purchased a subscription from the API Provider.
3.4 API Access Request – APIs are not available for purchase directly from the UAPI Platform. Developers can purchase API subscriptions from the API Provider, and store the associated API keys in their UAPI account. A UAPI Account enables a Developer to:
3.5 By agreeing to these Terms of Service, Velory allows you to access and use the UAPI Platform.
Velory may terminate your access to UAPI Platform at any time for any reason (such as violation of these Terms of Service) or for no reason at all, with or without notice.
Velory also reserves the right to access, read, preserve, and disclose any information as Velory reasonably believes is necessary to (i) satisfy any applicable law, regulation, legal process, or governmental request, (ii) enforce these terms, including investigation of potential violations, (iii) detect, prevent, or otherwise address fraud, security, or technical issues, (iv) respond to user support requests, or (v) protect the rights, property, or safety of Velory, its users, and the public.
Except with respect to the license grants below, Velory retain exclusive ownership of the following: the UAPI Platform; all visual interfaces, text, graphics, and other content on the UAPI Platform; the technology, software, data, and other materials that implement and/or operate the UAPI Platform; any updates, improvements, or changes made these; and all related intellectual property rights.
3.6 You are responsible for managing and assigning admin privileges within your organization. You agree to secure and control these privileges in compliance with its internal policies and to indemnify Velory against any claims or damages resulting from the misuse or unauthorized use of such access.
You must promptly report any security breaches related to admin access to Velory and cooperate to resolve these issues.
4.1 Terms Governing Developer’s use of APIs
The API Platform involves use of, or access to, APIs from Velory as well as from third-party API Providers. For purposes of this Section, Velory is considered an “API Provider” with respect to Velory APIs offered on the UAPI Platform.
Each API's usage is subject to specific terms and conditions established by the respective API Provider (hereinafter referred to as the “API Terms”). These API Terms form an agreement directly between the API Provider and the Developer. Velory, serving as the host of the API Platform, is not a participant in the API Terms and does not assume responsibility for any support or claims related to the API Providers. It is your obligation to review, comprehend, and consent to the relevant API Terms before utilizing an API through the API Platform.
5.1 Velory provides the UAPI Platform without any warranties or conditions, expressed or implied. Furthermore, we give no guarantee of continuous, uninterrupted or secure access to any part of the UAPI Platform and we are not responsible under these terms for any interruption or deterioration of the UAPI Platform.
5.2 We also do not warrant that the UAPI Platform is accurate or reliable, that the UAPI Platform will meet the your requirements, that the UAPI Platform will be available, uninterrupted or secure, at any particular time or place, that any deficiencies or errors will be eliminated or that the UAPI Platform will be free of viruses or other harmful components. Use of the UAPI Platform is at your own risk: all content or data downloaded or otherwise obtained through the use of the UAPI Platform is downloaded at your own risk and you will be solely responsible for any damage to their property or loss of data caused by such download
5.3 You can recover from Velory only direct damages up to €100. To the fullest extent permitted by applicable law, in no event shall Velory be liable to you for any indirect, incidental, special, exemplary or consequential damages of any kind whatsoever related to or arising from UAPI Platform or of any site or resource linked to, referenced or accessed through the UAPI Platform, or for the use or downloading of, or access to, any materials, information, products, or services accessed through the UAPI Platform, including without limitation, any lost profits, business interruption, lost savings, or loss of programs or other data.
5.4 This exclusion and waiver of liability applies (i) even if Velory is expressly advised of the possibility of such damages, and (ii) to all causes of action, whether based on contract, warranty, tort, or any other legal theories. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you.
Velory reserves the right to use data derived from the use of the UAPI Platform, in an anonymized, consolidated and aggregated manner to improve, develop, market and modify the UAPI Platform.
7.1 Unless otherwise agreed upon in writing, payments for the selected pricing plan (“Pricing Plan”) and subscription period must be made in advance using a valid credit card. Any additional costs incurred due to usage exceeding the limits of the chosen plan will be charged monthly in arrears.
7.2 For upgrades to a higher Pricing Plan, the price difference for the current period will be charged at the time of the upgrade. Downgrades will take effect at the end of the current subscription period.
7.3 All prices in the Pricing Plan, as set forth in the UAPI Platform and/or UAPI website, are presented excluding VAT or similar taxes, which apply and will be added in accordance with law.
7.4 Velory may alter the prices in Pricing Plan without prior notice with effect upon renewal of subscription. If you do not accept the changes, they may terminate the subscription. In such cases, the previous Pricing Plan will apply until the end of the current subscription period.
7.5 The subscription term begins on the activation date and remains active as long as the subscription is maintained. The subscription may be terminated (i) by you at any time, upon notice sent to support@velory.com; or (ii) by Velory, at any time and for any reason. Termination takes effect after the current subscription period.
7.6 Velory reserves the right to suspend access to the services if you fail to pay applicable fees on time or breaches any terms of this agreement. Access will be reinstated once all outstanding payments are received.
8.1 Velory may change these Terms of Service at any time. Velory will post any revised Terms of Service on the UAPI Platform landing page. Your continued use of the UAPI Platform means you have accepted the revised Terms of Service. Velory recommends that you periodically review the Terms of Service to stay informed on any changes.
8.2 Velory may at any time update, change, modify or withdraw the UAPI Platform as a whole or part thereof, including specific properties, without incurring any liability and without obtaining your prior consent. All new functionalities, features or services introduced to the UAPI Platform will be subject to these Terms of Service.
8.3 Velory may assign or transfer our rights and obligations under these Terms of Service, in whole or in part, at any time with notice to you. You may not assign these Terms of Service to any other person. Any attempt by you to do so is void. You may not transfer to anyone else, either temporarily or permanently, any rights to use or access the UAPI Platform or any part of the UAPI Platform.
8.4 Any dispute, controversy or claim arising out of or in connection with these Terms of Service, or the breach, termination or invalidity thereof, shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (the “SCC”). The Rules for Expedited Arbitrations shall apply, unless the SCC in its discretion determines, taking into account the complexity of the case, the amount in dispute and other circumstances, that the Arbitration Rules shall apply. In the latter case, the SCC shall also decide whether the Arbitral Tribunal shall be composed of one or three arbitrators. The seat of arbitration shall be Stockholm, Sweden. Unless otherwise agreed, the arbitral proceedings and the arbitral award shall be subject to a duty of confidentiality. These Terms of Service shall be governed by the substantive laws of Sweden.
8.5 Any provisions in these Terms of Service, which by their nature are to be performed or complied with after the termination of these Terms of Service, shall survive and continue in full force and effect (e.g. provisions regarding governing law).
